A step-by-step guide to creating and managing Groups in GATHER.nexus, including reviewing the ownership structure and effective ownership of the companies within a group.
1) Navigate to Group Setup
From your GATHER.nexus dashboard, go to Multi-Entity & Display → Group.
2) Add a New Group
Click Add Group.
Complete the required group details.
Select the companies you want to include in the group.
The ownership relationships between companies are configured on the Company screen.
3) Complete the Group Details
Enter the required group information:
Group Name
Currency
Financial Year Period
Companies
Select the companies that you want to include in the Group.
4) Review the Ownership Structure
Edit the Group to view the Ownership structure & effective % section.
This section reads the ownership relationships configured on the Company screen and calculates the effective ownership through the ownership chain.
It shows the top-most parent and the ownership structure of the selected companies.
5) Review Effective Ownership and NCI
The ownership structure is available in two views.
Visual Chain
The visual chain displays:
The companies from the top-most parent downwards.
The direct ownership percentage between companies.
The effective ownership percentage for each company.
The top-most parent is shown as 100%.
Calculation Table
The calculation table shows:
Company
Direct owner
Direct %
Effective %
NCI
The Effective % shows the calculation behind the percentage.
For example:
56% = 80% × 70%
NCI is calculated as:
100% − Effective ownership %
Figures are shown to up to four decimal places.
6) Review the Top-Most Parent
The top-most parent is the selected company that is not owned by another selected company in the Group.
The platform determines the top-most parent automatically from the ownership relationships.
If the selected companies cause the top-most parent to change, the ownership structure is re-based.
The new top-most parent becomes 100%, with no NCI, and the companies below it are recalculated from the new viewpoint.
7) Review Multiple Ownership Chains
A Group can contain more than one separate ownership chain.
Where this occurs, each chain has its own top-most parent, which is treated as 100% with no NCI.
Effective ownership is calculated independently down each chain.
8) Ownership Changes
Effective ownership and NCI reflect the latest direct ownership recorded on the Company screen.
Changes to the:
Holding Company
Shareholding Percentage
Step acquisitions
Disposals
Update the effective ownership and NCI figures accordingly.
These Group-level ownership figures are used by the consolidation process.
9) Continue with Group Reporting
Once your Group and ownership structure are configured, you can continue with:
Group Reporting Template setup.
Account Mapping.
Working Papers.
Group Classes, where required.
